1. Acceptance of Terms

By accessing or using the Suelo platform (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and other persons who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into binding contracts.

2. Description of the Service

Suelo is a real estate marketplace platform that connects buyers, sellers, landlords, and tenants of real estate in Latin America. The Service allows users to:

  • List and browse properties for sale or rent.
  • Access market information, trends, and reference valuations.
  • Connect with other real estate market participants.
  • Save searches and properties of interest.

Suelo acts exclusively as a technology intermediary. We are not real estate agents, brokers, or parties to any transaction between users. All negotiation, contracting, and closing of real estate transactions is the sole responsibility of the parties involved.

3. Eligibility and Registration

To use certain features of the Service, you will need to create an account. By registering, you agree to:

  • Provide truthful, complete, and up-to-date information.
  • Maintain the confidentiality of your access credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Be solely responsible for all activities that occur under your account.

We reserve the right to refuse registration, suspend, or cancel accounts at our discretion, especially in cases of violation of these Terms.

4. User Conduct

By using the Service, you agree not to:

  • Post false, misleading, or fraudulent information about properties.
  • Use the Service for illegal or unauthorized activities.
  • Attempt to gain unauthorized access to other users' systems or accounts.
  • Reproduce, distribute, or create derivative works of Service content without express authorization.
  • Use automated systems (bots, scrapers) to extract data from the Service.
  • Harass, threaten, or harm other users of the platform.
  • Post content that infringes third-party intellectual property rights.
  • Interfere with the proper functioning of the Service.

Failure to comply with these obligations may result in the immediate termination of your account and, where applicable, legal action.

5. Property Listings

By posting a listing on Suelo, you represent and warrant that:

  • You are the owner of the property or have legal authorization to list it.
  • All information provided (price, features, location, photos) is accurate and truthful.
  • The property is available and not subject to restrictions that prevent its sale or rental.
  • You have the necessary rights to the photographs and images used.

Suelo reserves the right to remove any listing that, at our sole discretion, violates these Terms, is misleading, or is inappropriate for the platform. We do not guarantee the accuracy or completeness of listings posted by third parties.

6. Intellectual Property

The Service and its original content (excluding user-posted content), including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the property of Suelo or its licensors and are protected by applicable intellectual property laws.

By posting content on the Service, you grant Suelo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works, display, and perform such content in connection with the operation of the Service.

You retain all ownership rights to the content you post.

7. Market Information and Data

Market information, value estimates, trends, and analyses available on the Service are provided solely for informational and reference purposes. This information:

  • Does not constitute a formal appraisal, financial advice, or legal advice.
  • May not accurately reflect the actual market value of a specific property.
  • Is subject to change without notice.

For investment decisions or significant transactions, we recommend consulting certified real estate professionals, registered appraisers, and legal advisors.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUELO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

  • WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION ON THE SERVICE.
  • WARRANTIES REGARDING TRANSACTIONS CONDUCTED THROUGH OR IN CONNECTION WITH THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUELO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of third parties on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

This limitation applies regardless of whether liability is based on warranty, contract, tort (including negligence), or any other legal theory.

10. Indemnification

You agree to defend, indemnify, and hold harmless Suelo, its affiliates, licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms.
  • Content you post on the Service.
  • Your use of the Service.
  • Your violation of third-party rights, including intellectual property rights.

11. Privacy

The processing of your personal information is governed by our Privacy Notice, which is incorporated into these Terms by reference. By using the Service, you consent to the processing of your information in accordance with said Notice.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Suelo has its principal domicile, without giving effect to any choice or conflict of law provisions.

Any dispute arising out of or in connection with these Terms or the Service shall first be submitted to a good faith mediation process. If mediation does not resolve the dispute within 60 days, the parties may resort to the competent courts.

If you are a resident of a country where consumer protection laws grant additional rights, such rights shall not be affected by these Terms.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the new Terms on this page and updating the "Last updated" date at the beginning of this document.

We recommend that you review these Terms periodically. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.

14. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination of your account, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall so survive.
